Successful mergers and acquisitions depend on a particular skill set that involves negotiating an advantageous purchase price, securing funding, and creating a marketing strategy for the combined business, all of which I have developed during my career.
Midwest Plastics Acquires Crete-Sleeve and Expands Markets (Consultant)
Midwest Plastics, a manufacturer providing injection molding, thermoforms and packaged services, was already a client that I helped to put on solid ground and increase sales. They then hired me to negotiate the purchase of Crete-Sleeve (their existing product supplier), lower the purchase price, secure funding for the acquisition of the company’s assets, and devise a marketing plan for the U.S. and new Canadian markets. Crete-Sleeve owners were initially reluctant to negotiate, but I produced a comprehensive analysis showcasing the market value based on five-year earnings. This resulted in a reduced purchase price from $1 million to $575,000, for which I prepared all bank documents and secured financing from Wells Fargo and the SBA. Working with the company’s legal and accounting firms, I conducted negotiations for loan agreements, the purchase agreement and non-competes. Midwest Plastics then successfully acquired Crete Sleeve and advanced their business goals.
Highlights include:
- Lowered the purchase price by $425,000 by producing a comprehensive analysis showcasing the target company’s market value based on five-year earnings
- Secured financing for the acquisition from Wells Fargo and the SBA
- Negotiated loan agreements, the purchase agreement and non-competes

Primo Restoration Merges with Home Style and Attracts Funding (Consultant)
My role in this merger between Primo Restoration and Home Style involved collaborating with the attorneys to prepare all the related documents, including the lists of all assets for both companies that were used to identify the percentage of stock ownership. I also provided five-year projections to attract new investors.
Highlights include:
- Secured $120,000 in new capital investment

Investor Acquires a Division of WP Mars Company for a Favorable Price and Forms New Company (Consultant)
An investor contracted with me to negotiate the purchase of Lubrication Service and Supply, a division of WP Mars Company. The final price was satisfactory to my client, and at the conclusion of the acquisition, the investor formed a new company, Automotive Service and Petroleum Equipment.
Highlights include:
- Negotiated a reduction in the original offering price by 15%
- Assisted the investor in forming a new company
